Chapter 1
Business Terms & Conditions
1. Introduction
These Business Terms & Conditions ("Terms") govern the sale of all products and services supplied by BioAge Diagnostics ApS ("BioAge Diagnostics", "BioAge", "we", "our", or "us") to commercial customers.
These Terms apply to all business customers, including but not limited to:
- Clinics
- Medical Practices
- Hospitals
- Healthcare Professionals
- Laboratories
- Corporate Customers
- Research Institutions
- Distributors
- Sub-distributors
- Commercial Partners
These Terms shall apply to all quotations, orders, sales and deliveries unless otherwise agreed in writing.
No purchase order, customer terms or other document shall amend these Terms unless expressly accepted in writing by BioAge Diagnostics.

3. Definitions
For the purposes of these Terms:

All products supplied by BioAge Diagnostics including diagnostic kits, collection devices, wellness products, nutritional products and associated accessories. |
| Services |
Laboratory coordination, logistics coordination, onboarding, customer support, educational services, reporting services and any other commercial services supplied by BioAge Diagnostics. |
| Customer |
The legal business entity purchasing Products or Services. |
| SystemAge® |
The biological age assessment platform developed by Generation Lab. |
| Collection Device |
Any approved blood collection device including Tasso®, venous blood collection systems or future approved collection technologies. |
4. Application
These Terms apply to every commercial transaction unless replaced by a separately executed written agreement signed by both Parties.
Distributor Agreements, Agency Agreements or Strategic Partnership Agreements shall take precedence over these Terms where applicable.
5. Customer Eligibility
Products are supplied exclusively to commercial customers.
By placing an order, the Customer confirms that it is purchasing Products for business purposes.
BioAge Diagnostics reserves the right to refuse orders from any Customer without stating a reason.
6. Product Information
BioAge Diagnostics continually seeks to improve its Products and Services.
Product specifications, packaging, laboratory workflows, logistics partners and software functionality may change without prior notice where required for operational, scientific or regulatory reasons.
Images, brochures and marketing material are provided for illustrative purposes only.
7. Quotations
All quotations remain valid for thirty (30) calendar days unless otherwise stated.
Prices may change without notice after expiry of the quotation.
8. Orders
Orders become binding only after written confirmation by BioAge Diagnostics.
BioAge Diagnostics reserves the right to:
- Reject orders
- Cancel orders prior to shipment
- Limit quantities
- Request advance payment
- Suspend future deliveries
9. Prices
Unless otherwise agreed in writing:

The Customer is solely responsible for all taxes applicable within its jurisdiction.
10. Payment Terms
Invoices shall be payable according to the payment terms stated on the invoice.
Late payments may incur interest at the maximum rate permitted under applicable law.
BioAge Diagnostics reserves the right to suspend deliveries until outstanding balances have been settled.
11. Ownership
Ownership of Products shall remain with BioAge Diagnostics until full payment has been received.
Risk passes to the Customer upon delivery to the agreed delivery location.
12. Delivery
Delivery times are estimates only.
BioAge Diagnostics shall not be liable for delays caused by:
- Logistics providers
- Customs authorities
- Laboratories
- Manufacturers
- Force majeure events
- Third-party suppliers
13. Acceptance of Goods
The Customer shall inspect all deliveries immediately upon receipt.
Visible transport damage shall be reported within five (5) business days.
Failure to notify BioAge Diagnostics within this period shall constitute acceptance of the shipment.
14. Product Storage
Products shall be stored strictly according to the applicable Instructions for Use (IFU).
BioAge Diagnostics accepts no responsibility for Products stored outside the recommended conditions.
15. Warranties
Products are warranted only against manufacturing defects.
BioAge Diagnostics makes no warranty regarding:
- Commercial success
- Business performance
- Patient outcomes
- Laboratory turnaround times
- Clinical usefulness beyond the approved intended use
16. Limitation of Liability

BioAge Diagnostics shall not be liable for indirect losses, consequential losses, loss of revenue, loss of profit, business interruption, loss of goodwill, or loss of opportunity.
The maximum aggregate liability of BioAge Diagnostics shall never exceed the total purchase price paid by the Customer for the affected order.
17. Intellectual Property
All trademarks, reports, documentation, educational material, software, graphics, algorithms, dashboards and associated intellectual property remain the exclusive property of their respective owners.
Nothing in these Terms transfers ownership of any intellectual property.
18. Confidentiality
The Customer agrees to maintain the confidentiality of any non-public commercial or technical information received from BioAge Diagnostics.
19. Force Majeure

Neither Party shall be liable for failure to perform obligations due to events beyond reasonable control.
20. Termination
BioAge Diagnostics may suspend or terminate commercial relations immediately where:
- Invoices remain unpaid
- Fraud is suspected
- Products are misused
- Applicable laws are breached
21. Governing Law
These Terms shall be governed exclusively by Danish law.
22. Jurisdiction
Any dispute arising under these Terms shall be subject exclusively to the jurisdiction of the Copenhagen City Court, Denmark.
✅ Acceptance
By submitting an order, signing a quotation, accepting an invoice, or otherwise purchasing Products or Services from BioAge Diagnostics, the Customer confirms that it has read, understood and accepted these Business Terms & Conditions.
Chapter 4
Shipping & Fulfilment Policy
1. Scope
This Shipping & Fulfilment Policy applies to all orders placed with BioAge Diagnostics ApS.
2. Order Processing
Orders are processed after acceptance by BioAge Diagnostics and, where applicable, receipt of payment or approved credit terms.
Estimated delivery dates are provided for guidance only and are not guaranteed.
3. Fulfilment
Products may be packed and shipped by BioAge Diagnostics or by approved fulfilment partners acting on our behalf.
Laboratory samples may be processed by approved laboratory partners designated by BioAge Diagnostics.
4. Delivery
The Customer is responsible for providing accurate shipping information.
BioAge Diagnostics is not responsible for delays caused by couriers, customs authorities, force majeure events or other third-party service providers.
5. Shipping Costs
Shipping charges, customs duties, import taxes and any local fees are the responsibility of the Customer unless otherwise agreed in writing.
6. Risk of Loss
Risk transfers to the Customer upon delivery to the agreed delivery address.
Ownership of Products remains with BioAge Diagnostics until full payment has been received.
7. Inspection of Goods
The Customer shall inspect all shipments immediately upon receipt.
Any missing items, shipping damage or delivery discrepancies must be reported in writing within five (5) business days of delivery.
8. Tracking
Where available, shipment tracking information will be provided after dispatch.
Delivery times may vary depending on destination, customs clearance and local courier services.
9. Sample Integrity
Customers are responsible for collecting, storing and shipping samples in accordance with the applicable Instructions for Use (IFU).
BioAge Diagnostics is not responsible for samples that are damaged, delayed or rendered unusable due to incorrect handling after collection.
10. Changes
BioAge Diagnostics reserves the right to change logistics providers, fulfilment partners, laboratories or shipping procedures where reasonably necessary for operational, regulatory or commercial reasons.
Chapter 5
Returns & Complaints Policy
1. Scope
This Returns & Complaints Policy applies to all Products supplied by BioAge Diagnostics ApS.
2. Inspection
Customers must inspect all Products immediately upon delivery and notify BioAge Diagnostics of any shortages, shipping damage or incorrect deliveries within five (5) business days.
3. Returns
Due to the nature of diagnostic and wellness products, Products may not be returned once opened, used or otherwise compromised, unless required by applicable law or approved in writing by BioAge Diagnostics.
4. Damaged or Defective Products
If a Product is confirmed to be damaged, defective or supplied incorrectly, BioAge Diagnostics may, at its sole discretion:
- Replace the Product
- Issue a credit note
- Refund the purchase price
5. Non-Returnable Products
The following Products are generally not eligible for return:
- Opened collection kits
- Used sampling devices
- Products not stored according to the applicable Instructions for Use (IFU)
- Products damaged due to improper handling or storage by the Customer
6. Complaints
All complaints should include:
- Customer name
- Invoice or order number
- Product name
- Batch number (if applicable)
- Description of the issue
- Supporting photographs where relevant
BioAge Diagnostics will investigate all complaints as promptly as reasonably possible.
7. Limitation
BioAge Diagnostics shall not be responsible for delays, failed sample collection, rejected laboratory samples or inaccurate results caused by improper handling, storage, shipping or use of the Products after delivery.
Chapter 6
Medical & Wellness Disclaimer

The products and services supplied by BioAge Diagnostics are intended to support wellness, healthy ageing, health optimisation and lifestyle management. Unless expressly stated otherwise, they are not intended for the diagnosis, treatment, cure or prevention of any disease.

Results, reports and recommendations are provided for informational and wellness purposes only.
They should always be interpreted in the context of the individual's overall health, medical history and professional clinical judgement.
4. No Medical Advice

5. Customer Responsibility
The Customer is responsible for ensuring that all Products are used in accordance with applicable laws, regulations and the relevant Instructions for Use (IFU).
6. Limitation of Responsibility
BioAge Diagnostics makes no guarantee regarding individual health outcomes, clinical results or improvements resulting from the use of its Products or Services.
7. Regulatory Status
ℹ Regulatory StatusThe Customer acknowledges that the regulatory status and intended use of Products may vary between countries. It is the Customer's responsibility to ensure compliance with all applicable local laws and regulations before offering Products or Services to end users.
Chapter 7
Intellectual Property
1. Ownership
All trademarks, trade names, logos, product names, reports, software, dashboards, documentation, educational materials, marketing materials, website content and other intellectual property supplied by or through BioAge Diagnostics remain the property of their respective owners.
Nothing in these Terms grants the Customer ownership of any intellectual property.
2. Permitted Use
The Customer may use BioAge Diagnostics' materials solely for the purpose of promoting and supplying products purchased directly from BioAge Diagnostics.
3. Restrictions
Without prior written consent from BioAge Diagnostics, the Customer shall not:
- Copy, reproduce or modify any reports or materials
- Remove or alter copyright or trademark notices
- Use BioAge Diagnostics' name or trademarks in a misleading manner
- Reverse engineer, copy or replicate any products, reports, software, dashboards or related services
- Distribute marketing materials that have been modified without written approval
4. Third-Party Intellectual Property
Certain Products and Services supplied by BioAge Diagnostics may include intellectual property owned by third parties.
The Customer agrees to respect all applicable intellectual property rights relating to such Products and Services.
5. Infringement

Chapter 8
Acceptable Use, Website & Order Terms
1. Acceptable Use
The Customer agrees to use all Products and Services supplied by BioAge Diagnostics responsibly and in accordance with applicable laws, regulations and the relevant Instructions for Use (IFU).
The Customer shall not:
- Misrepresent any Product or Service
- Make unauthorised medical or commercial claims
- Modify, copy or distribute reports, educational materials or marketing content without prior written approval
- Reverse engineer, copy or attempt to replicate any Product, software, report, dashboard or associated service
- Use BioAge Diagnostics' trademarks or branding without permission
2. Website Information
All information published on the BioAge Diagnostics website is provided for general informational purposes only.
While every effort is made to ensure accuracy, BioAge Diagnostics makes no warranty that website content is complete, accurate or current at all times.
BioAge Diagnostics reserves the right to update website content, product information and services without prior notice.
3. Orders
Orders submitted through our website, online forms, email or other approved ordering channels are subject to acceptance by BioAge Diagnostics.
BioAge Diagnostics reserves the right to reject, suspend or cancel any order where reasonably necessary.
4. Customer Acceptance
By placing an order with BioAge Diagnostics, the Customer confirms that it has:
- Read and accepted these Global Commercial Terms & Policies
- Accepted the Privacy Policy
- Accepted the Shipping & Fulfilment Policy
- Accepted the Returns & Complaints Policy
- Read and understood the Medical & Wellness Disclaimer
The Customer further acknowledges that Products supplied by BioAge Diagnostics may be marketed as wellness products and are not intended to diagnose, treat, cure or prevent disease unless expressly stated otherwise.
5. Electronic Communication
The Customer agrees that BioAge Diagnostics may communicate electronically regarding orders, invoices, deliveries, product updates and operational matters.
Electronic communications shall be considered valid business communications.
Chapter 9
General Provisions
1. Force Majeure
ℹ Force Majeure
BioAge Diagnostics shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, pandemics, war, civil unrest, labour disputes, transportation disruptions, supply chain interruptions, governmental actions, cyber incidents or failures of third-party service providers.
2. Amendments
BioAge Diagnostics reserves the right to amend these Global Commercial Terms & Policies from time to time.
The latest version will always be available on our website and shall apply to all future orders from the effective date of publication.
3. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.
4. Assignment
The Customer may not assign or transfer any rights or obligations under these Terms without the prior written consent of BioAge Diagnostics.
BioAge Diagnostics may assign its rights and obligations to an affiliated company or successor without prior notice.
5. Governing Law
These Global Commercial Terms & Policies shall be governed and interpreted in accordance with the laws of Denmark.
6. Jurisdiction
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Denmark, with the Copenhagen City Court as the court of first instance, unless otherwise required by mandatory law.

These Global Commercial Terms & Policies constitute the entire agreement governing the purchase of Products and Services from BioAge Diagnostics unless superseded by a separately executed written agreement signed by both Parties.
